Limitation of Liability for Services

All bookings are subject to our separate, signed Terms and Conditions agreement, which contains the complete terms governing your event.
Governing Law
This Disclaimer and your use of the Site are governed by the laws of the State of New York. Any disputes arising from this Disclaimer or the Site shall be resolved in the courts of Erie County, New York.
1. Contracting Parties
This Agreement is entered into between WNY Humanoid LLC (the "Company") and the Client identified in the booking confirmation (the "Client"). By booking our services, you agree to be bound by these Terms and Conditions.
2. Booking, Payment, and Cancellation
Deposit: A non-refundable deposit of 50% is required to secure your event date. The final balance is due 7 days prior to the event date. Payment Methods: We accept payment via [Credit Card, Check, Bank Transfer]. Cancellation by Client: If the Client cancels the event for any reason, the deposit is forfeited. If cancellation occurs within 14 days of the event date, the full amount is due. Postponement: One postponement is permitted at no extra charge if requested at least 30 days before the event date, subject to availability. The new date must be within 6 months of the original date. Cancellation by Company: In the unlikely event that the Company must cancel due to unforeseen circumstances (e.g., robot malfunction, illness), the Client will receive a full refund, including the deposit.
3. Our Services (What's Included)
The Company agrees to provide the following at the event: Unitree G1 Humanoid Robot: One (1) robot for the duration specified in the selected package. Trained Operator: One (1) operator to manage the robot's performance, safety, and interaction. Transportation and Setup: Transport of the robot and all necessary equipment to and from the venue, and setup/breakdown. Choreography and Interaction: A pre-programmed performance routine, including dancing, waving, and basic voice interaction as per the selected package. Safety Perimeter: Setup and management of a 3–6 ft safety perimeter around the robot during all active periods.
4. Client Responsibilities and Venue Requirements
The Client agrees to: Provide a safe and suitable environment for the robot, including a minimum clear floor space of 3m × 3m (approx. 10ft × 10ft) for walking demos. Ensure a standard 110V power outlet is available within 5 meters of the robot's operating area. Ensure the venue has a flat, stable floor surface and is free from stairs, uneven surfaces, or excessive debris. Provide adequate lighting for the performance and safe operation of the robot. Ensure the venue has adequate insurance to cover the event. Follow all safety instructions provided by the Company's operator. Ensure that no guests attempt to touch, climb, or control the robot at any time.
5. Safety and Liability
Safety is Our Top Priority: The Company maintains strict safety protocols. The operator has the absolute right to immediately terminate the performance or pause the event if safety conditions are compromised. Liability: The Company is fully insured with Commercial General Liability (CGL) coverage. This coverage is primary for any claims arising from our services. The Client is responsible for any damage to the Company's equipment caused by the Client, their guests, or the venue's staff. Assumption of Risk: The Client acknowledges that the presence of a humanoid robot carries inherent risks, including but not limited to property damage, personal injury, and equipment malfunction. The Client voluntarily assumes all such risks on behalf of themselves, their guests, and their property. Indemnification: The Client agrees to indemnify, defend, and hold harmless WNY Humanoid LLC, its members, managers, and employees from any and all claims, damages, losses, or liabilities arising from the Client's breach of these Terms, the negligence of the Client or their guests, or any violation of venue rules.
6. Media and Intellectual Property
Media Rights: The Company may capture video and photographs of the event for promotional purposes. The Client grants the Company a non-exclusive, royalty-free right to use such media. The Client may opt out by providing written notice prior to the event.
7. Force Majeure
The Company is not liable for failure to perform its obligations under this Agreement if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, severe weather, government orders, venue closures, or national emergencies.
8. Dispute Resolution
Any dispute arising from this Agreement shall be governed by the laws of the State of New York. The parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in Erie County, New York, in accordance with the rules of the American Arbitration Association.
9. Limitation of Liability
To the maximum extent permitted by law, the Company's total liability under this Agreement shall not exceed the total fees paid by the Client for the event. The Company is not liable for indirect, incidental, consequential, or punitive damages.
10. Entire Agreement
This Agreement, along with the booking confirmation, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements.
11. Acceptance
By booking an event with WNY Humanoid LLC, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
